Stamp Duty on Shares Transfer: Rates & Process Guide

Corporate share transactions in India are subject to stamp duty under the Indian Stamp Act, 1899.

2. Share Valuation Disputes and Section 56(2)(x) Rules

When shares of unlisted private companies are transferred, valuing the transaction is a common area of tax dispute. Under Section 56(2)(x) of the Income Tax Act, if shares are transferred at a price lower than their Fair Market Value (FMV) calculated u/s Rule 11UA, the difference is taxed as "Income from Other Sources" in the hands of the buyer.

Statutory auditors verify the valuation reports (certified by a merchant banker or CA) and check that the stamp duty has been paid on the correct FMV to prevent tax adjustments.

Let's compute the stamp duty for an off-market transfer of equity shares:

4. Forensic Verification of Off-Market Transfer Feeds

Off-market share transfers represent a high-risk channel for transferring company control without reporting public transactions. Forensic auditors cross-verify depository transaction logs (from CDSL/NSDL) against the company's member register (Form MGT-1) and bank statement logs.

This check ensures that all off-market transfers are supported by e-stamp certificates, and that no unregistered share allocations are bypassed.

5. Statutory Audits for Share Capital Transactions

During corporate audits, CAs verify that all changes in share capital (issuances or transfers) are backed by appropriate stamp duty certificates.

If the company has issued shares during the year without paying the 0.005% stamp duty within the prescribed timeline, the auditor reports the non-compliance, which can attract penalty actions u/s Section 35 of the Stamp Act.
