1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement between you (whether personally or on behalf of an entity, "you" or "User") and TrulyInvoice ("TrulyInvoice", "we", "us", or "our"), concerning your access to and use of the TrulyInvoice website (https://www.trulyinvoice.com), web application, desktop connector software, and related services (collectively, the "Service").

By registering an account, purchasing a subscription, or using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately discontinue use of the Service.

2. Description of Service

TrulyInvoice provides an artificial intelligence-powered software-as-a-service (SaaS) platform designed for accountants, tax professionals, and enterprises. The Service extracts structured data from uploaded purchase invoices, bills, and bank statements (PDF, JPEG, PNG) and automates the posting of accounting vouchers directly into your local Tally Prime installation via our secure local connector.

3. Subscriptions, Payments & Billing

3.1 Pricing & Plans: TrulyInvoice offers monthly subscription plans (Lite, Plus, and Custom) as displayed on our Pricing page. All fees are quoted in Indian Rupees (INR) and are exclusive of applicable GST unless explicitly stated otherwise.

3.2 Payment Processing: Online payments and recurring subscription billing are securely processed by Razorpay Software Private Limited ("Razorpay"). By subscribing, you authorize Razorpay and TrulyInvoice to charge your designated payment method (UPI, credit/debit card, net banking) automatically at the beginning of each billing cycle until cancellation.

3.3 Page Quotas & Usage: Each subscription plan includes a designated monthly allocation of processed invoice pages (e.g., 1,000 pages for Lite, 2,000 pages for Plus). Quotas reset at each monthly billing cycle and unused monthly pages do not roll over unless specified in a custom agreement.

4. User Account & Security Obligations

  • You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
  • You agree to provide accurate, current, and complete registration information and promptly update it upon changes.
  • You must not share, resell, rent, or sublicense your TrulyInvoice account access to unauthorized third parties without written authorization.
  • You agree to notify us immediately at infotrulybot@gmail.com upon discovering any security compromise.

5. Data Verification & Accounting Responsibility

TrulyInvoice leverages high-accuracy computer vision and AI models for document extraction. However, document quality, handwritten notes, skewed scans, and non-standard tax formats can affect OCR accuracy.

User Responsibility: TrulyInvoice is designed as a human-in-the-loop, review-first system. You and your designated accounting personnel retain sole responsibility for reviewing, validating, and verifying all extracted invoice data, ledger mappings, tax amounts, and stock SKUs before committing vouchers to your final Tally Prime statutory books of account.

6. Intellectual Property Rights

The Service, including its software architecture, algorithms, UI designs, codebases, logos, documentation, and trademarks, is the exclusive intellectual property of TrulyInvoice. You are granted a non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with your subscription plan.

You retain all ownership rights to your uploaded invoice files, proprietary financial records, and Tally database data.

7. Cancellation and Termination

You may cancel your subscription at any time through your dashboard settings or by notifying our support team at infotrulybot@gmail.com. Please refer to our dedicated Cancellation and Refund Policy for complete details on cancellation terms, billing cycle cutoffs, and refund eligibility.

8. Disclaimer of Warranties & Zero Liability

The Service is provided strictly on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.

To the maximum extent permitted by applicable law, TrulyInvoice disclaims all liability whatsoever. In no event shall TrulyInvoice, its founders, operators, or affiliates have any liability or responsibility for any direct, indirect, incidental, consequential, special, or punitive damages, including without limitation accounting errors, tax penalties, GST mismatches, audit assessments, lost profits, or business interruption arising out of or in connection with your use of the Service.

You acknowledge and agree that TrulyInvoice provides automation software only. You and your designated accounting personnel bear 100% full and exclusive responsibility for verifying all extracted amounts, ledgers, tax heads, and stock items before committing records to Tally Prime.

9. Governing Law & Dispute Resolution

These Terms and any disputes arising out of or in connection with the Service shall be governed by and construed in accordance with the laws of India. Any legal action or proceeding related to TrulyInvoice shall be brought exclusively in the competent courts located in Guwahati, Assam, India, and the parties hereby consent to personal jurisdiction in such courts.
